Terms of Use.
1. Acceptance of Terms
By accessing, browsing, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
2. Eligibility
The Services are intended for, and offerings referenced through them are limited to, prospective and current members who are accredited investors as defined under Rule 501(a) of Regulation D promulgated under the Securities Act of 1933, as amended (the "Securities Act"). Membership in Marquee is by invitation only and granted at Marquee's sole discretion.
3. No Offer; Informational Only
The Services, including any materials made available to members, are provided for informational purposes only. Nothing on the Services constitutes an offer to sell, or the solicitation of an offer to buy, any security, investment product, or interest in any fund or other vehicle managed or sponsored by Marquee or its affiliates. Any such offering will be made solely to qualified prospective investors pursuant to definitive offering documents, including a confidential private placement memorandum and subscription documents, in compliance with applicable securities laws.
4. Accredited Investor Status
By requesting access to the Services or any related membership, you represent and warrant that you qualify as an accredited investor under Rule 501(a) of Regulation D. You agree to provide such information and documentation as Marquee may reasonably request to verify your status. Marquee reserves the right to deny or revoke access if it determines, in its sole discretion, that you do not satisfy applicable eligibility criteria.
5. Confidentiality
Materials made available through the member portal, including investment memoranda, financial projections, deal pipelines, deck contents, and any other proprietary information (collectively, "Confidential Information"), are confidential and proprietary to Marquee. You agree to maintain the confidentiality of all Confidential Information, to use it solely for the purpose of evaluating your relationship with Marquee, and not to reproduce, distribute, or disclose any portion of it to any third party without Marquee's prior written consent.
6. No Advice
Nothing on the Services constitutes investment, legal, tax, accounting, or other professional advice. You should consult your own qualified advisors before making any investment decision. Marquee is not acting as a fiduciary or financial advisor to you by virtue of your use of the Services or your submission of any inquiry.
7. Forward-Looking Statements
The Services may contain forward-looking statements based on current expectations, estimates, projections, and assumptions of Marquee's management regarding future performance, industry conditions, capital requirements, and other factors. These statements are not guarantees of future results and are subject to risks, uncertainties, and changes in circumstances that are difficult to predict. Actual results may differ materially. 8. Intellectual Property
All content on the Services, including text, graphics, logos, illustrations, video, code, and design, is owned by Marquee or its licensors and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content obtained from the Services without Marquee's prior written consent. "Marquee," the Marquee logo, and related marks are trademarks of Marquee Media Inc.
9. Acceptable Use
You agree that you will not:
- Share, forward, or otherwise disclose your member credentials or any sign-in link with any other person;
- Use the Services to violate any applicable law, regulation, or third-party right;
- Attempt to gain unauthorized access to any portion of the Services, any account, or any data not intended for you;
- Reverse engineer, decompile, or attempt to derive the source code of any portion of the Services;
- Use any automated means to access, scrape, or copy materials from the Services; or
- Interfere with the operation, security, or integrity of the Services.
10. Third-Party Content
The Services may contain references or links to third-party websites, products, services, or materials. Marquee does not control, endorse, or assume responsibility for any third-party content and is not liable for any loss or damage arising from your reliance on it.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. MARQUEE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, COMPLETE, OR CURRENT.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MARQUEE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR INVESTMENT OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF MARQUEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Marquee, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your use of the Services, or your violation of any law or third-party right.
14. Termination
Marquee may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including without limitation any actual or suspected breach of these Terms. Upon termination, your right to access the Services will cease, but the provisions of these Terms that by their nature should survive will continue to apply.
15. Modifications
Marquee may revise these Terms from time to time by posting an updated version on the Services. Material changes will be identified by an updated effective date at the top of these Terms. Your continued use of the Services after any such change constitutes your acceptance of the revised Terms.
16. Governing Law
These Terms, and any dispute arising out of or related to them or the Services, will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in the State of Delaware will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of such courts.
